The legal representation of a purchaser or seller of a private business requires an understanding of the business, tax, and numerous other legal consequences to the parties. This basic-to-intermediate level program will provide an overview of the process and documentation concerning the purchase and sale of a small business, an in-depth review of transaction documents, and a discussion of the tax considerations when structuring transactions as a sale of stock, assets, or as a stock sale treated as an asset sale for tax purposes. Throughout the program, the faculty will address the techniques, practicalities and common issues concerning the negotiation and drafting of purchase and sale agreements including representation, warranty, covenant and indemnity provisions.
