Forming Legal Entities In Other States: Pros / Cons (2015)
2.0 Total Credits in Skills
When deciding the state in which to form a business, a client often asks which state is “best”. Since the laws governing corporations and limited liability companies vary from state to state, this program provides an attorney with the facts necessary to assist a client in making the choice among the current popular state choices – New York, Delaware, Nevada and Wyoming. The experienced faculty members review not only the current formation requirements, privacy and liability issues in each of the highlighted states, but also tax implications when operating in a state other than the state of formation. The program includes an overview of state taxes and the elements that trigger an obligation to pay state taxes.
