Formation Of Corporations And Other Business Entities: New York And Delaware
This Program shall serve as an intermediate-level overview of the various form filings and other requisites to successfully form C Corporations, Limited Liability Companies, and Limited and Limited Liability Partnerships in each of NY and DE. Additionally, a brief recitation of filing PCs, PLLCs, and PLLPs shall be included. Emphasis shall also be placed on the varying statutory requirements following the formation of the subject entities including, but not limited to, filing the IRS Form S-4, compliance with the Publication requirement and, if applicable, the filing of an Application for Authority, inter alia. The comparative benefits of forming the subject entities in NY and DE shall be addressed throughout the Program.
