- Fireside Chat: Upleveling Leadership- Conscious Accountability: Effective working relationships are an essential component of an organization's success. The key to creating and maintaining those relationships is building a culture of exceptional accountability. In this session, panelists will discuss the idea of conscious accountability: what it is, how it's different from traditional notions of accountability and what leaders can do to create it. Participants will learn the CONNECT framework: 7 practices leaders can implement which will foster closer connections and better performance. By integrating the practices of conscious accountability in your daily work life, you can move beyond traditional ways of engaging with employees, colleagues, and stakeholders, and have transformative impact on your organization.
- Legal Entity Boards of Directors: Strategies for Success and Risk Mitigation: As Boards of Directors need to adapt to changes in expectations, technology, and laws, and as requirements vary depending on the jurisdiction, size and purpose of a company, to ensure an effective and successful Board, best practices need to be implemented. Setting out these expectations and practices clearly will ensure and foster an alignment between strategic vision and decision making. Our panelists will discuss these best practices, including the need to provide clarity around: – appropriate board make up, considering diversity of experience as well as more transition diversity, inclusion and equity factors, – minimum requirement for meeting, from number of meetings, standing agenda items, identifying what matters can be handled through written consent, which require agreement by a majority or supermajority, – expectations to meet fiduciary duties, including what will be covered by D&O policies and company indemnities and what cannot or will not, – education or training expected or recommended , – nomination processes to ensure proper vetting of candidates.
- Organizational Conflicts of Interest Recognition and Mitigation: Conflicts of Interest are inherent in the operation of any entity. Whether those conflicts come to light when appointing people to the Boards of Directors, when serving as a director within or outside of your organization or when a person acting in-house general counsel is at odds with Board Members or with entity's ownership or senior leadership. Our panelists will discuss the types of conflicts that can arise and how those can be assessed and mitigated.
