This presentation focuses on a rarely discussed issue: ethical conduct while creating transactional documents. What rules are involved? Through actual analysis, we will discover how and which ethical rules have been applied when one lawyer changes a document without revealing the changes, and if and under what circumstances such conduct is permissible. What about unintentional omissions? Or misquoting of statutes? We’ll discuss duties, if any to reveal “ripple” effects of changes otherwise agreed to; and we will look at rights to reformation; simple strategies to protect lawyers from unethical modifications, and the duties of honesty in negotiation. We’ll also discuss the danger of drafting for both sides, doing business with a client, and end with best practices for all these situations.
